A grand jury subpoena is a legal document issued by a grand jury that compels an individual or company to provide testimony or produce documents for a state or federal investigation. Unlike a regular subpoena, which may be issued by an attorney or court clerk, a grand jury subpoena carries significantly more weight and requires careful navigation to ensure compliance while protecting the client’s rights.
It is not unusual for the SEC to initially obtain information from a company voluntarily, before the staff has fully developed its focus. If the investigation continues, the staff will almost invariably issue a subpoena to ensure that documents and data (whether already obtained or still to be provided) relevant to the investigation are safeguarded and available. An “administrative subpoena” is a subpoena that an administrative agency (federal or state), not a court, creates. SEC subpoenas are administrative subpoenas.
The Committees of the Senate and US House of Representatives have the authority to issue subpoenas for both documents and testimony. Although Congress is not empowered to bring criminal charges for non-compliance, it has the power to make criminal referrals to the Department of Justice or initiate civil litigation to enforce its subpoenas. Refusing to comply with a Congressional subpoena can result in contempt of Congress criminal charges by the US Attorney’s Office for the District of Columbia.
